TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOINSYTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. BIOINSYTE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BIOINSYTE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. USE OF THE SERVICES IS AT YOUR SOLE RISK.
BioInsyte may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or that we determine is harmful to other users, third parties, or the integrity of the Services. Upon termination, provisions of these Terms that by their nature should survive will continue to apply.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website with a revised effective date. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
